Terms of service
These terms form the agreement between you and AxPay. Please read them before using the service — by signing in, you accept them.
1. The agreement
These terms are between you and [Company legal name] (“AxPay”, “we”, “us”), registered at [registered address], company number [number]. By creating an account, signing in, or using any part of the service you agree to be bound by them. If you are accepting on behalf of an organisation, you confirm you are authorised to do so, and “you” means that organisation.
Where your organisation has signed a separate written agreement with us, that agreement prevails over these terms to the extent of any conflict.
2. Regulatory status

3. Eligibility and your account

- We may decline, suspend, or close an account where verification fails or the law requires it.
- One person or entity may not operate accounts to circumvent a limit, restriction, or suspension.
4. Keeping your credentials safe
You are responsible for the confidentiality of your password and second factor, and for activity carried out under your account. Enable two-step verification, do not share credentials, and tell us immediately at our support contact if you suspect unauthorised access. We will never ask you for your password or a one-time code.
5. Acceptable use
You agree not to use the service to:
- break any applicable law, sanctions regime, or card-network rule;
- launder money, finance terrorism, or disguise the origin of funds;
- transact in goods or services prohibited under [link to prohibited business list];
- submit false, misleading, or fraudulent payment instructions;
- probe, scan, overload, or disrupt the service or its infrastructure, except as permitted by our responsible disclosure guidelines;
- reverse engineer the service, or access it by automated means outside our published API terms;
- infringe the intellectual property or privacy rights of others.
6. Fees
Fees, currency-conversion margins, and settlement timings are set out in our published pricing at [pricing URL] or in your order form. We may change fees on [notice period, e.g. 30 days’] written notice; continuing to use the service after the notice period constitutes acceptance. Taxes are your responsibility unless we state otherwise.
7. Payment instructions
Once a payment instruction is submitted it may be irrevocable. Check the beneficiary details before you confirm — we execute instructions as given and are not obliged to recover funds sent to a wrong beneficiary, though we will use reasonable efforts to assist. Cut-off times, limits, and settlement windows are published in the product and may change for risk or regulatory reasons.
8. Suspension and termination
You may close your account at any time, subject to settling outstanding amounts. We may suspend or terminate access, with notice where practicable, if you materially breach these terms, if we are required to by law or a regulator, or if we reasonably suspect fraud or a security risk. We may act without prior notice where giving notice would itself create legal or security risk.
9. Intellectual property
We own the service, its software, and its branding. You receive a limited, revocable, non-exclusive, non-transferable right to use it as intended. You keep ownership of the data you submit, and you grant us the licence needed to operate and improve the service and to meet our legal obligations.
10. Availability
We aim for high availability but do not promise uninterrupted service. Maintenance, third-party outages, and events outside our reasonable control can interrupt access. Any committed service level applies only if it is set out in a signed agreement.
11. Disclaimers
Except as expressly stated and to the extent permitted by law, the service is provided “as is” without warranties of any kind, including fitness for a particular purpose, merchantability, and non-infringement. Nothing in these terms excludes liability that cannot lawfully be excluded — including for death or personal injury caused by negligence, or for fraud.
12. Limitation of liability
Subject to the paragraph above, neither party is liable for indirect, incidental, special, or consequential loss, or for lost profits, revenue, goodwill, or data. Our total aggregate liability arising out of or relating to the service is limited to [the greater of the fees you paid in the twelve months before the claim, or [amount]].
13. Indemnity
You agree to indemnify us against claims, losses, and reasonable costs arising from your breach of these terms, your unlawful use of the service, or a third-party claim relating to your business or the underlying transactions you process.
14. Complaints and disputes
Please raise complaints with us first at [complaints@axpay.com]; we acknowledge within [period] and aim to resolve within [period]. If we cannot resolve it, you may be entitled to refer the matter to [relevant ombudsman or dispute-resolution body].
15. Changes to these terms
We may amend these terms as the product and the law evolve. We will give at least [notice period] notice of material changes by email or in-product notice. If you do not accept a change, you may close your account before it takes effect.
16. Governing law
These terms are governed by the laws of [jurisdiction], and the courts of [jurisdiction] have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. Mandatory consumer-protection rights in your country of residence are unaffected.
17. General
If a provision is found unenforceable, the rest remains in force. Our failure to enforce a right is not a waiver of it. You may not assign these terms without our consent; we may assign them to a group company or successor. These terms, together with our privacy policy, are the entire agreement between us on this subject.
